What MatNotes is

MatNotes is a subscription tool for martial-arts academies. Coaches record technique videos and organize them by class; students review them, ask timestamped questions, and keep a personal journal. Your academy's coaches decide who joins and what is recorded.

Eligibility and accounts

• You must be at least 18 and able to form a contract to set up an academy or subscribe.
• The coach or owner who creates an academy is the account owner and is responsible for the academy's members, content, and subscription.
• Students and parents may use the Service only as invited by an academy.
• Children under 13 may participate only with verifiable parental consent, as described in our Privacy Policy and applicable law (including COPPA).
• Keep your passwordless login secure; you are responsible for activity under your account.

Subscriptions, billing, and free trial

• MatNotes is a recurring subscription per academy, currently $79 per month (unlimited coaches and students) unless a different price is shown at signup.
• New academies may get a 30-day free trial. You add a payment method at signup but are not charged during the trial; if you don't cancel before it ends, the subscription begins and your method is charged.
• Subscriptions renew automatically each month until cancelled. You authorize recurring charges. Payments are processed by Stripe; we don't store full card numbers.
• We may change fees with reasonable advance notice, effective on your next billing cycle. Fees exclude taxes.

Cancellation and refunds

You may cancel anytime from Billing → Manage billing. See our Refund & Cancellation Policy, which is part of these Terms: cancellation stops future charges, access continues through the end of the paid period, and monthly fees already paid are generally non-refundable except as stated there or as required by law.

Your content

You and your academy own the videos, notes, questions, journals, logo, and other materials you create ("Your Content"). You grant us a limited license to host, store, process, and display Your Content solely to run the Service for your academy. You are responsible for having all rights and permissions to upload it, including the consent of anyone identifiable in a video (for minors, a parent or guardian). Do not upload unlawful, infringing, or harmful content. We may remove content that violates these Terms and do not use Your Content for advertising or sell it.

Acceptable use

Don't use the Service unlawfully; upload malware or attempt unauthorized access; reverse engineer, scrape, or resell it; misuse another member's information; or use it to harass, endanger, or exploit anyone, including any minor.

Children, COPPA, and privacy

We handle information about children under 13 per our Privacy Policy and COPPA, including verifiable parental consent and parents' rights to review, withdraw consent, and delete. Academies must use the consent process we provide and must not add a child under 13 without it. The Privacy Policy is part of these Terms.

Third-party services

We rely on providers to run MatNotes, including Stripe (payments), Mux (video), Supabase (database, login, storage), and Vercel (hosting). Your use may be subject to those providers' terms where applicable.

Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind. We don't warrant it will be uninterrupted, error-free, or that content is always retained — keep your own copies of important videos. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages or lost data or profits, and our total liability for any claim will not exceed what you paid us in the 12 months before the claim.

Indemnification

You agree to indemnify and hold MatNotes and its owners harmless from claims and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your members, or your violation of these Terms or of any law or third-party right.

Termination

You may cancel and stop using the Service anytime. We may suspend or terminate access for material breach, non-payment, or use that risks harm. On termination your right to use the Service ends; we make your data available for a reasonable period on request, then delete it per our Privacy Policy, except where retention is required by law.

Changes to these Terms

We may update these Terms and will give reasonable notice of material changes. Continued use after they take effect is acceptance.

Governing law

These Terms are governed by the laws of the State of South Carolina, and the courts located in Charleston County, South Carolina have exclusive jurisdiction. [Optional arbitration / class-action-waiver clause per counsel.]
